You have requested a licence to use the Scanguard Lite software. The licence agreement is similar to that used by manufacturers of virtually all major software products. The key point of the licence agreement is that it sets out the terms under which you are granted licence to use the software. Basically you are entitled to use the software for the normal legitimate use the software is intended for. The licence agreement highlights what is legitimate use and what is non-permitted. The software is supplied with a software security key, which together with this licence agreement, Laser Visuals Research Limited ultimately considers to be important to protect both your investment in the product, and its future development.

Once you have read this licence and confirmed that you agree to it, you will receive a copy of Scanguard Lite during June 2008.

LICENCE - SCANGUARD LITE VERSION

IMPORTANT - PLEASE READ CAREFULLY - This licence statement and limited warrantee constitutes a legal agreement ("Licence Agreement") between you (either as an individual or a single entity) and LASER VISUALS RESEARCH LIMITED for the Scanguard Lite software product ("SOFTWARE") identified above, including any software, media, and accompanying on-line or printed documentation.

BY INSTALLING AND ACTIVATING THE SOFTWARE YOU ARE INDICATING THAT YOU HAVE READ THE TERMS OF THIS LICENCE AGREEMENT, AND THAT YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THE LICENCE AGREEMENT.

Upon your acceptance of the terms and conditions of the Licence Agreement, LASER VISUALS RESEARCH LIMITED grants you the right to use the SOFTWARE in the manner provided below.

PROPRIETARY RIGHTS: The SOFTWARE and accompanying documentation are the proprietary products of LASER VISUALS RESEARCH LIMITED and are protected under national laws and international treaty provisions. Ownership of the SOFTWARE and all copies, modifications, and merged portions thereof shall at all times remain with LASER VISUALS RESEARCH LIMITED.

GRANT OF LICENCE AND TERM: The SOFTWARE and accompanying documentation are being licensed to you, which means you have the right to use the SOFTWARE only in accordance with this Licence Agreement. The SOFTWARE is considered to be in use on a computer when it is loaded into temporary memory or installed into permanent memory.

You may not sub-licence, lease, sell, or otherwise transfer the SOFTWARE or any accompanying documentation to any other person. You may only use the SOFTWARE for your own personal use or for business purposes if you are a business.

TERM: This licence is effective from the date of Installation and shall remain in force until terminated. You may terminate the licence and this Licence Agreement at any time by removing the SOFTWARE from all machines it is installed on, and returning the SOFTWARE and the accompanying documentation together with all copies in any form, via registered or traceable delivery service. Alternatively, if the software has been downloaded, the downloaded material must be permanently deleted.

TRANSFER: You may transfer the SOFTWARE and documentation on a permanent basis provided you retain no copies and the recipient agrees to the terms of the Licence Agreement. Except as provided in the Licence Agreement, you may not transfer, rent, lease, lend, copy, modify, translate, sub-license, time-share or electronically transmit or receive the SOFTWARE, media or documentation. Acceptance of the SOFTWARE to the transfer recipient shall automatically construe acceptance of this licence agreement. The new licence holder becomes responsible for any violations or non permitted uses of this licence. If it can not be determined whether you or the new licence holder is the responsible party, then you will be held for the liable or prohibited use.

BACKUP COPY: You are permitted to create ONE copy of the SOFTWARE for archival or backup purposes.

PERMITTED MULTIPLE USES: You are permitted to use multiple copies of the SOFTWARE at the discretion of LASER VISUALS RESEARCH LIMITED, for example onto your desktop studio machine, and another copy onto a laptop used for laser shows etc; LASER VISUALS RESEARCH LIMITED grant the use multiple machines by way the software activation procedure. Every installation and therefore multiple use, requires that the SOFTWARE is activated for use on a particular machine. You are not permitted to use unauthorised versions of the SOFTWARE on multiple machines.

NONPERMITTED USES: Without the express prior written consent of LASER VISUALS RESEARCH LIMITED, you are not allowed to use the software for non permitted uses. Non permitted uses included, but are not limited to copying, modifying, altering or transferring, electronically or otherwise, the SOFTWARE or documentation except as expressly permitted in this Licence Agreement; or translate, reverse program, disassemble, de-compile, or otherwise reverse engineer the SOFTWARE.

LIMITATION OF LIABILITY: In no event will LASER VISUALS RESEARCH LIMITED be liable for any damages whatsoever (including without limitation damages for loss of business profits, business interruption, loss of business information and the like) arising out of the use or inability to use this product.

LASER SAFETY: LASER VISUALS RESEARCH LIMITED does not warrant the use of the SOFTWARE as the sole means of determining the hazard associated with a specific laser effect. Whilst every effort has been made to ensure the accuracy of the calculated results, it is not possible to guarantee the absolute accuracy of the results, in every instance on different PC configurations. Key results provided by the SOFTWARE should be verified by other means such as radiological measurements if the purpose is to use them as part of a hazard assessment.

GENERAL PROVISIONS: This License Agreement may only be modified in writing signed by you and an authorised officer of LASER VISUALS RESEARCH LIMITED. All terms of any purchase order or other ordering document shall be superseded by this Licence Agreement. If any provision of the Licence Agreement is found void or unenforceable, the remainder will remain valid and enforceable according to its terms. If any remedy provided is determined to have failed for its essential purpose, all limitations of liability and exclusions of damages set forth in this Licence Agreement shall remain in effect.

This Licence Agreement in all respects shall be governed by English law and the parties hereby agree to submit to the exclusive jurisdiction of the English courts.

LIMITED WARRANTY – LASER VISUALS RESEARCH LIMITED warrants that the SOFTWARE, when properly used, will perform substantially in accordance with the accompanying documentation and the Software media will be free from defects in materials and workmanship, for a period of one year (12 months) from the date of receipt. Any implied warranties on the Software are limited to one year (12 months).
